1. Scope of Application

1.1 These General Terms and Conditions (hereinafter "Terms") of Fenix Smart Trading LLC (hereinafter "Fenix Smart Trading" or "we") apply to all contracts, deliveries, and services provided to customers (hereinafter "Customer" or "you"), whether concluded via our website (www.fenixsmarttrading.com, if applicable), in writing, or otherwise, unless expressly agreed otherwise in writing.

1.2 These Terms apply to both consumers and businesses unless otherwise specified. A "consumer" is any natural person entering into a transaction for purposes predominantly outside their trade, business, or profession, as per UAE law. A "business" is any natural or legal person acting within their commercial or professional capacity.

1.3 Any Customer terms conflicting with or deviating from these Terms shall not apply unless expressly agreed to by Fenix Smart Trading in writing.

2. Conclusion of Contract

2.1 Offers made by Fenix Smart Trading, whether on our website, in catalogs, or other media, are non-binding and subject to change unless explicitly stated as binding.

2.2 By placing an order (e.g., via website, email, or phone), the Customer makes a binding offer to conclude a contract. Fenix Smart Trading may accept this offer within seven (7) days by sending an order confirmation (via email or in writing) or by delivering the ordered goods/services.

2.3 Contracts are concluded upon Fenix Smart Trading’s acceptance of the Customer’s order, subject to these Terms.

3. Prices and Payment Terms

3.1 All prices quoted by Fenix Smart Trading are in UAE Dirham (AED) unless otherwise stated and include applicable UAE Value Added Tax (VAT) as per Federal Decree-Law No. 8 of 2017, where applicable. Prices exclude shipping, handling, or additional service fees unless explicitly included.

3.2 Payment is due immediately upon order confirmation unless otherwise agreed. Available payment methods (e.g., bank transfer, credit card, or other) will be communicated at the time of order.

3.3 If the Customer fails to make payment within the agreed period, Fenix Smart Trading may charge default interest at the rate permitted under UAE law and reserves the right to cancel the contract or suspend delivery.

4. Delivery and Performance

4.1 Delivery times and dates provided by Fenix Smart Trading are estimates and non-binding unless expressly agreed otherwise in writing.

4.2 Delivery is subject to the availability of goods. If an ordered item is unavailable, Fenix Smart Trading will inform the Customer promptly and refund any payments made for the unavailable item.

4.3 Fenix Smart Trading reserves the right to make partial deliveries if this is reasonable for the Customer and does not significantly impair the contract’s purpose.

4.4 Delivery shall be made to the address specified by the Customer. The risk of loss or damage to goods passes to the Customer upon delivery or, for businesses, when the goods are handed over to the carrier, as per UAE Commercial Transactions Law.

5. Retention of Title

5.1 Fenix Smart Trading retains ownership of all delivered goods until full payment of the purchase price and any related costs (e.g., shipping) is received.

5.2 The Customer must notify Fenix Smart Trading immediately of any third-party claims or actions (e.g., seizure) affecting the goods under retention of title.

6. Right of Withdrawal (Consumers Only)

6.1 Consumers purchasing goods or services remotely (e.g., via the website) may have a right of withdrawal under UAE consumer protection laws (e.g., Federal Law No. 15 of 2020 on Consumer Protection), where applicable. The withdrawal period is fourteen (14) days from receipt of goods or conclusion of a service contract, unless otherwise specified.

6.2 To exercise the right of withdrawal, the Customer must notify Fenix Smart Trading in writing (e.g., via email to info@fenixsmarttrading.com) within the withdrawal period. The Customer bears the cost of returning goods unless otherwise agreed.

6.3 The right of withdrawal does not apply to goods made to the Customer’s specifications, perishable goods, or services fully performed with the Customer’s consent before the withdrawal period expires.

7. Warranty and Liability

7.1 Fenix Smart Trading warrants that goods delivered are free from defects in material and workmanship at the time of delivery, as per UAE Commercial Transactions Law. For consumers, the warranty period is two (2) years from delivery unless otherwise specified. For businesses, warranty claims must be reported within seven (7) days of delivery.

7.2 If a defect is identified, Fenix Smart Trading may, at its discretion, repair, replace, or refund the defective goods, subject to UAE law.

7.3 Fenix Smart Trading’s liability is limited to damages caused by willful misconduct or gross negligence. Liability for indirect or consequential damages (e.g., loss of profits) is excluded to the extent permitted by UAE law.

8. Data Protection

8.1 Fenix Smart Trading processes personal data in accordance with the UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data. Details are provided in our Privacy Policy, available on our website or upon request.

8.2 The Customer consents to the collection and processing of personal data necessary for the execution of the contract, including contact and payment details.

9. Intellectual Property

9.1 All content, trademarks, and materials provided by Fenix Smart Trading (e.g., on the website or in marketing materials) are protected by intellectual property laws. The Customer may not reproduce, distribute, or use such materials without prior written consent.

10. Governing Law and Jurisdiction

10.1 These Terms and all contracts concluded with Fenix Smart Trading are governed by the laws of the United Arab Emirates, with the courts of Dubai having exclusive jurisdiction, unless mandatory consumer protection laws provide otherwise.

10.2 For consumers, disputes may also be resolved through alternative dispute resolution mechanisms, as provided under UAE consumer protection regulations.

11. Amendments to the Terms

11.1 Fenix Smart Trading reserves the right to amend these Terms at any time. The version applicable to a contract is the one in effect at the time of order placement.

11.2 Customers will be notified of significant changes to these Terms via email or on our website.
